This End-User License Agreement ("EULA") is a legal agreement between the use (either an individual or an entity) and Navariti Innovation Private Limited ("Navariti"), the provider and owner of smart equipment, associated software, hardware, and data (collectively, the "Product").
By using the Product, you agree to be bound by the terms of this EULA. If you do not agree to the terms of this EULA, do not install or use the Product.
Grant of License:
Navariti grants you a non-exclusive, non-transferable, limited license to use the Product solely for your personal or internal business purposes, subject to the terms of this EULA.
Ownership:
The Product, including but not limited to software, hardware, and information (data, images, videos and such), is owned by Navariti Innovation Private Limited. All rights not expressly granted to you in this EULA are reserved by Navariti.
Restrictions:
You may not:
Use, copy, modify, or distribute the Product except as provided in this EULA.
Reverse engineer, decompile, or disassemble the Product, except and only to the extent that such activity is expressly permitted by applicable law notwithstanding this limitation. Rent, lease, lend, sell, sublicense, or otherwise transfer the Product to any third party.
Use the Product for any commercial purposes without obtaining prior written permission from Navariti.
Information Use and Ownership:
Navariti retains sole ownership and rights to the information (images, videos, other data and such) generated, collected, or provided through the use of the Product ("Data"). Any use of the information, either directly or indirectly, for commercial purposes is strictly prohibited unless authorized by Navariti in written. Downloading, copying, or any form of data extraction from the Product requires explicit written permission from Navariti.
Termination:
This EULA is effective until terminated. Your rights under this EULA will terminate automatically without notice from Navariti if you fail to comply with any term(s) of this EULA. Upon termination, you shall cease all use of the Product and destroy all copies, full or partial, of the Product.
Disclaimer of Warranties:
You expressly acknowledge and agree that use of the Product is at your sole risk. The Product is provided "AS IS" and "AS AVAILABLE," without warranty of any kind from Navariti.
Where applicable the hardware may have separate manufacturer warranty associated with it in the event of a sale of the product. Please refer to the warranty terms and conditions enclosed with the product or contact your dealer or reseller for the same.
Limitation of Liability:
In no event shall Navariti be liable for any direct, indirect, incidental, special, exemplary, or consequential damages (including, but not limited to, procurement of substitute goods or services; loss of use, data, or profits; or business interruption) however caused and on any theory of liability, whether in contract, strict liability, or tort (including negligence or otherwise) arising in any way out of the use of the Product, even if advised of the possibility of such damage.
General:
This EULA constitutes the entire agreement between you and Navariti concerning the Product and supersedes all prior or contemporaneous understandings and agreements, whether written or oral, regarding such subject matter. No amendment to or modification of this EULA will be binding unless in writing and signed by Navariti.
By using the Product, you acknowledge that you have read this EULA, understood it, and agree to be bound by its terms.
Amendment and Modification:
Navariti Innovation Private Limited reserves the right to amend or modify this EULA at any time and without prior notice. By continuing to use the Product after such amendments or modifications have been made, you agree to be bound by the revised terms.
